TO QUALIFY FOR A CHANCE TO WIN A PRIZE, FOLLOW ALL INSTRUCTIONS IN THESE OFFICIAL RULES.

ELIGIBILITY: The Matrix Mania Sweepstakes (“Sweepstakes”) is open to legal residents of the 50 United States (including the District of Columbia) age 18 or older (19 or older in Alabama and Nebraska); Canada (except for residents of the province of Quebec) age 18 or older; and 3) Puerto Rico age 21 or older. Void in the province of Quebec and where prohibited by law. The Sweepstakes and any website page and advertisements relating thereto, are intended for viewing only within the 50 United States (including the District of Columbia), Canada (except for residents of the province of Quebec) and Puerto Rico. Employees and agents of L'Oreal, USA, Inc. d/b/a Matrix (the “Sponsor”), Regis Salons, their affiliates, subsidiaries, and advertising and promotions agencies (collectively "Promotion Parties") and members of their immediate families (spouses, parents, siblings, children and their spouses) are not eligible to enter or win.

Sweepstakes begins on 1/1/13 at 12:00 A.M. Eastern Time (“ET”) and ends on 12/31/13 at 11:59 P.M. ET (the “Sweepstakes Entry Period”). Sweepstakes Entry Period consists of six (6) Bimonthly Entry Periods. To qualify for a bimonthly drawing and a chance to receive an instant win prize, your entry must be received by the deadline date for a given Bimonthly Entry Period. Entries received for one Bimonthly Entry Period drawing will not be entered into subsequent Bimonthly drawings. Refer to the charts below for Bimonthly Entry Period deadline dates:

* Unique code request by mail must be postmarked by deadline and received by 1/7/14. Requests received between 12/31/13 and 1/7/14, the independent judging organization will play on entrant’s behalf, and the entrant will be notified only in the event s/he is a potential winner.

HOW TO PLAY: A UNIQUE CODE WILL BE NEEDED TO ENTER THE SWEEPSTAKES. A unique code will be included in or on specially marked pre-packages of Matrix products. Or, you will receive a unique code (while supplies last) with a minimum purchase of $30 of selected Matrix products and/or services at participating Regis Corporation Corporate Salons. Or, if you wish to receive a unique code for free, you can request one while supplies last, by sending your name, address, email address and birth date on a postcard (only) to: Matrix Mania Code Request, 244 Madison Ave #2013, New York, NY 10016. . A unique free code will be sent via email to the email address written on the postcard. Request for a free unique code must be received by the Bimonthly Entry Period you wish to play (refer to the above charts for entry deadlines). To enter, visit www.MatrixMania2013.com (“website”) and follow all onscreen instructions, including providing your unique code when prompted to do so. After you review the product information provided thereafter, you will receive a confirmation your entry was entered for a chance to win as follows: One (1) Toyota Matrix will be awarded in a random drawing at the conclusion of each Bimonthly Entry Period. Plus fifty (50) winners will be randomly selected (via a preselected time and date stamp) to instantly win a Matrix Gift Bag. Instant winners (subject to verification of eligibility) will be notified immediately via email. In the event all instant win prizes are not claimed in their entirety by 1/7/14, the unclaimed instant win prizes will be awarded in a Second Chance Drawing. (Refer to these Official Rules for details on Second Chance Drawing.) Limit: One entry per person/e-mail address per unique code. Multiple entrants are not permitted to share the same email address. Sponsor’s agent’s servers will be the official timekeeper in this Sweepstakes.

Additional Entry: To receive one (1) additional entry: (a) post the Sweepstakes on your Facebook wall [Sweepstakes sharing feature is available after you submitted a Sweepstakes entry]; (b) when your friend clicks on your shared message and follows all onscreen instructions including clicking on the Salon Locator feature (on the Find a Salon tab), you will receive an additional entry automatically into the bimonthly drawing your entry qualifies for. Limit: one (1) additional entry per person/email address for the duration of the Sweepstakes Entry Period.

If you receive a potential winning message, your confirmation as an instant winner is subject to verification and meeting eligibility requirements. A “screenshot” is not proof or evidence of winning an instant win play. After an instant win prize winner is verified, a prize notification will be emailed to him or her confirming his or her winning status. All instant win prizes will be shipped to winners to the street address provided at time of entry. If you receive a non-winning message, you are not a winner of an instant win prize, but your entry information will be automatically entered in the bimonthly random drawing for which your entry qualifies. Only winners will be notified. No mechanically reproduced or photocopied entries will be accepted. The Sponsor is not responsible for lost, late, stolen, misdirected, postage-due or illegible mail, damaged, or torn entries. Entries received via robotic device/artifice or scripts will be deemed invalid. In the event of a dispute over the identity of an online entrant, such entry will be deemed submitted by the "Authorized Account Holder" of the email address submitted at time of entry. Authorized Account Holder means the natural person who is assigned to an email address by an Internet access provider, online service provider, or other organization that is responsible for assigning email addresses for the domain associated with the submitted email address. All materials submitted become the sole property of the Sponsor and will not be returned.

BIMONTHLY RANDOM DRAWING FOR GRAND PRIZES, MANUFACTURERS SUGGESTED RETAIL PRICE (“MSRP”) & ODDS: Six (6) Grand Prizes (one (1) prize awarded per Bimonthly Entry Period): 2013 Toyota Matrix (MSRP: $18,845.00). Odds of winning depend on the total number of entries received for a given Bimonthly Entry Period drawing, estimated at 1:93,500. Or, at the Sponsor’s sole discretion, winner may elect to receive $15,000, awarded in the form of a check in lieu of the 2013 Toyota Matrix. Each grand prize winner must have a valid U.S., Canadian or Puerto Rican driver’s license and provide proof of automobile insurance at time of winning. Automobile prize will be delivered to the closest Toyota dealership to winner's primary residence. Automobile winner is responsible for all federal, state, provincial and local income and sales taxes, insurance, licensing, registration and title fees associated with automobile prize and for any other options not expressly included. Maximum MSRP of all grand prizes: $113,030.00. Limit: One (1) grand prize per household.

BIMONTHLY INSTANT WIN PRIZES, CORRESPONDING APPROXIMATE RETAIL VALUES ("ARV") & ODDS: Fifty (50) winners per Bimonthly Entry Period will each receive: a Matrix Gift Bag (ARV: $60.00 each). Odds of winning instantly are dependent on the number of entries received each Bimonthly Entry Period, but are estimated at approximately 1:1,870. Total number of Matrix Gift Bags available to be claimed: 300. Total ARV of all monthly prizes: $18,000.00.

SECOND CHANCE DRAWING TO AWARD UNCLAIMED PRIZES: If any prize claim is not received by 1/7/14 or if an instant win prize is forfeited for any reason whatsoever, it will be awarded in a Second Chance Drawing to be conducted on or about 5:00 P.M. (ET) on 1/15/14. Odds of winning in the Second Chance Drawing are determined by the total number of all bimonthly eligible entries received and total number of unclaimed prizes available to be awarded. Limit: One Drawing prize per person/household.

WINNER DETERMINATION/SELECTION & WINNER NOTIFICATION: Instant win prize claims are subject to verification by, and the bimonthly and Second Chance Drawing will be conducted by Ventura Associates, Intl LLC; an independent judging organization whose decisions are final.

Each bimonthly prize drawing will be conducted within fourteen (14) days from each Bimonthly Entry Period deadline to determine the grand prize winner. All random drawings will be conducted at the offices of Ventura Associates Intl LLC. Potential grand prize winners will be notified by mail and/or email and each potential grand prize winner will be required to complete and return an Affidavit/Declaration of Eligibility and Liability and a Publicity Release (“Affidavit/Declaration/Release”) within ten (10) days of date specified on notification, or an alternate winner may be selected.

In order to claim prize, any Canadian winner will also be required to correctly answer, unaided, a time-limited mathematical skill testing question administered at a mutually agreeable time by telephone. Prizes will be awarded within sixty (60) days after receipt and verification of completed Affidavit/Declaration/Release or prize notification. A prize may be forfeited if a winner is not reachable at the address and/or phone number provided on his/her entry and a forwarding address is not made available. If a potential instant and/or grand prize winner cannot be contacted, or if Affidavit/Declaration/Release or prize notification is returned as undeliverable or if a selected winner cannot accept or receive the prize for any reason, or he/she is not in compliance with these Official Rules, the corresponding prize will be forfeited and it may be awarded to an alternate winner. If this is the case, a random drawing to determine an alternate winning entrant will be conducted from all eligible entries received from the entry pool the disqualified entry originated. Prizes are non-assignable and non-transferable. Each winner will be responsible for all federal, state, provincial, local and sales and income taxes associated with winning his/her prize. Grand prize winners (from the United States) will be required to furnish his/her Social Security number for the sole purpose of preparation of any tax forms as required by law. No substitution is permitted except if a prize is unavailable, in which case a prize or prize component of equal or greater value will be awarded. Any other incidental expenses on prize not specified herein are the winners’ sole responsibility. Except where prohibited by law, entry and acceptance of prize constitute permission to use each winner's name, prize won, city, state, likenesses, photographs, video, and statements for purposes of advertising, promotion and publicity (including online posting) in any and all media now or hereafter known throughout the world in perpetuity, without additional compensation, notification or permission. All prize values stated in these Official Rules are in U.S. dollars.

GENERAL CONDITIONS: All entries and/or materials submitted become the property of Sponsor and will not be returned or acknowledged. Unique codes that contain printing errors, are tampered with, illegible, photocopied, mechanically reproduced, distributed where prohibited by law or not obtained through regular channels will be deemed null and void. Liability for any irregular unique code will be limited to replacement with another. If through occurrence of printing, production, notification, computer, electronic or any errors whatsoever, more winning notifications are printed and distributed for any prize level than those prize quantities offered in the Official Rules, no more than the actual number of prizes for the applicable prize level per these Official Rules will be awarded. Should such a situation occur, winners will be determined in a random drawing from among all submitted eligible and verified winning prize claims at that level.

Winners acknowledge that the Sponsor and all other businesses concerned with this Sweepstakes and their agents do not make, nor are in any manner responsible for any warranty, representations, expressed or implied, in fact or in law, relative the quality, conditions, fitness or merchantability of any aspect of prize except that each prize shall be subject to its manufacturer’s standard warranty.

RELEASE OF LIABILITY: By participating in this Sweepstakes, entrants agree to these Official Rules and the decisions of the Judges and the Sponsor, and release, defend and hold harmless Promotion Parties, Facebook and any other individual or company involved in the development or execution of the Sweepstakes as well as the employees, officers, directors, agents and shareholders of each, from all liability, claims or actions of any kind whatsoever for injuries, damages, demands or losses of any kind to persons (including death) and property which may be sustained in connection with either directly or indirectly, 1) the awarding, receipt, ownership, use or misuse of any prize awarded herein; or 2) participation in the Sweepstakes or any prize related activities, including but not limited to traveling to or from any prize related activity. Sponsor is not responsible if Sweepstakes cannot take place or if any prize cannot be awarded due to travel cancellations, delays or interruptions due to acts of God, acts of war, natural disasters, weather or acts of terrorism. Sponsor is not responsible for any typographical or other error in the printing of the offer or codes, administration of the Sweepstakes or in the announcement of the prizes. Promotion Parties are not responsible for late, lost, damaged, inaccurate, delayed, garbled, misdirected, incomplete, or undelivered entries; or for lost, interrupted or unavailable network, server, Internet Service Provider (ISP), website, or other connections, availability or accessibility or miscommunications or failed computer, satellite, telephone or cable transmissions, lines, or technical failure or jumbled, scrambled, delayed, or misdirected transmissions or computer hardware or software malfunctions, failures or difficulties, or other errors or difficulties of any kind whether human, mechanical, electronic, computer, network, typographical, printing or otherwise relating to or in connection with the Sweepstakes, including, without limitation, errors or difficulties which may occur in connection with the administration of the Sweepstakes, the processing of entries or codes, the announcement of the prizes, or in any Sweepstakes-related materials. Released Parties are also not responsible for any incorrect or inaccurate information, whether caused by site users, tampering, hacking, or by any equipment or programming associated with or utilized in the Sweepstakes. Promotion Parties are not responsible for injury or damage to any person's computer related to or resulting from participating in this Sweepstakes or downloading materials from or use of the website. Should any portion of the Sweepstakes be, in Sponsor’s sole opinion, compromised by virus, worms, bugs, non-authorized human intervention or other causes which, in the sole opinion of the Sponsor, corrupt or impair the administration, security, fairness or proper play, or submission of entries, or if Sweepstakes is unable to run as planned for any other reason, Sponsor reserves the right at its sole discretion to suspend, modify or terminate the Sweepstakes and, if terminated, at its discretion, select the potential winners from all eligible, non-suspect entries received prior to termination.

GOVERNING LAW: Except where prohibited, all issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the entrant and Sponsor in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of the State of New York without giving effect to any choice of law or conflict of law rules (whether of the State of New York, or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of New York. In addition, any dispute relating to the Sweepstakes (including these Official Rules) shall be brought individually, and without resort to class action, exclusively in the appropriate state or federal court having jurisdiction over the subject matter located in the City and County of New York. Entrants hereby irrevocably consent to the personal jurisdiction of said courts and waive any claim of forum non convenes or lack of personal jurisdiction they may have.
